1. Acceptance of Terms

These Terms and Conditions of Use (the “Terms”) govern your access to and use of the Wilmac Technologies website at wilmactech.com (the “Website”), operated by Wilmac Business Equipment Co., doing business as Wilmac Technologies (“Wilmac,” “we,” “us,” “our”). By accessing or using the Website, you agree to be bound by these Terms and by all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using the Website.

These Terms apply to your use of the Website only. Use of Wilmac’s software products and services, including Wilmac Continuity WFM, Wilmac Continuity Replay, Mac, and Archie, is governed by separate agreements between Wilmac and the licensing customer organization. Handling of personal information is described in our Privacy Policy.

2. Use License

Wilmac grants you a limited, non-exclusive, non-transferable, revocable license to view and download materials on the Website for personal, non-commercial informational use only. This is a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials;
  • Use the materials for any commercial purpose or for public display (commercial or non-commercial);
  • Attempt to decompile or reverse engineer any software contained on the Website;
  • Remove any copyright, trademark, or other proprietary notices from the materials;
  • Transfer the materials to another person or “mirror” the materials on any other server; or
  • Use the Website or its content to develop or train any machine learning or artificial intelligence model without our prior written consent.

This license will terminate automatically if you violate any of these restrictions, and may be terminated by Wilmac at any time. Upon termination, you must destroy any downloaded materials in your possession, whether in electronic or printed form.

3. Prohibited Uses

In addition to the restrictions in Section 2, you agree not to:

  • Use the Website in any way that violates any applicable federal, state, local, or international law or regulation;
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Website, the server on which the Website is hosted, or any related system or network;
  • Use any robot, spider, scraper, or other automated means to access the Website or collect data from it, except for search engine indexing consistent with our robots.txt file;
  • Impersonate or attempt to impersonate Wilmac, a Wilmac employee, another user, or any other person or entity;
  • Use the Website to transmit or introduce any viruses, worms, malware, or other malicious code; or
  • Engage in any conduct that restricts or inhibits any other user’s use or enjoyment of the Website.

4. Intellectual Property

The Website and its entire contents, including but not limited to text, graphics, images, logos, icons, audio, video, software, and the design and arrangement thereof, are owned by Wilmac, its licensors, or other providers, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

“Wilmac,” “Wilmac Technologies,” and related names, logos, product and service names, designs, and slogans are trademarks of Wilmac or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Website are the trademarks of their respective owners.

5. Third-Party Links

The Website may contain links to third-party websites or resources that are not owned or controlled by Wilmac. We have not reviewed all such linked sites and are not responsible for their content, privacy practices, or availability. The inclusion of a link does not imply endorsement by Wilmac. Your use of any linked third-party site or resource is at your own risk and subject to the terms and privacy policies of that site or resource.

6. Accessibility

Wilmac is committed to making our Website usable by as many people as possible, including individuals with disabilities. We work to design and update the Website with accessibility in mind and consult widely recognized accessibility guidelines, including the Web Content Accessibility Guidelines (WCAG), as part of that effort.

We recognize that despite our best efforts, some content or functionality may not be fully accessible to every visitor.

If you have difficulty accessing any part of the Website, or if you have suggestions for how we can improve, please contact us at marketing@wilmactech.com. We welcome the feedback and will work to make the requested information available in another format where reasonably possible.

7. Disclaimer of Warranties

The materials on the Website are provided “as is” and “as available.” Wilmac makes no representations or warranties of any kind, express or implied, regarding the operation of the Website or the information, content, or materials included on it. To the fullest extent permitted by applicable law, Wilmac disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Wilmac does not warrant that the Website will be uninterrupted, secure, or error-free; that defects will be corrected; or that the Website or the server that makes it available are free of viruses or other harmful components. Wilmac does not warrant the accuracy, completeness, reliability, or currency of any materials on the Website or on any linked site.

8. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Wilmac, its affiliates, or their respective officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, revenue, data, use, goodwill, or other intangible losses — arising out of or in connection with your access to or use of, or inability to access or use, the Website or any materials on it, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not Wilmac has been informed of the possibility of such damage.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for incidental or consequential damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless Wilmac, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Website.

10. Amendments and Errata

The materials on the Website may contain typographical, technical, or photographic errors. Wilmac does not warrant that any material on the Website is accurate, complete, or current, and reserves the right to make changes to the materials at any time without notice. Wilmac does not make any commitment to update the materials.

11. Modifications to These Terms

Wilmac may revise these Terms at any time by updating this page. Material changes will be indicated by updating the “Effective Date” and “Last Updated” fields above. By continuing to access or use the Website after any revision becomes effective, you agree to be bound by the revised Terms. If you do not agree to the revised Terms, you must stop using the Website.

12.Termination

We may terminate or suspend your access to the Website, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Website will cease immediately. Sections of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and governing law.

13. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to them or to the Website are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Monroe County, New York, and you consent to personal jurisdiction and venue in those courts.

14. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. Wilmac’s failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. These Terms, together with the Privacy Policy and any separate agreements you may enter into with Wilmac, constitute the entire agreement between you and Wilmac regarding your use of the Website.
